We provide advice in a broad range of asset, stock, and merger transactions, from the perspective of both buyers and sellers, in the context of leveraged acquisitions (“LBOs”), management buy-outs (“MBOs”), strategic acquisitions, divestments, mergers, capital reorganizations, and reverse mergers.  We have experience representing private equity funds, companies growing by acquisition, and private investors seeking to purchase businesses for investment purposes.

The Firm counsels both buyers and sellers with respect to a wide variety of technical issues which arise in mergers and acquisitions, including structure as a taxable or nontaxable transaction, purchase price adjustments, purchase price collars, indemnity provisions, and accounting issues.  We have the capability to conduct a complete due diligence investigation to supplement our client's internal resources.

We have completed transactions in a wide range of industries, but have particular expertise in software, telecommunications, information technology, and hardware.  We are known for effective advocacy and negotiation on behalf of our clients and for a creative problem solving approach.
